1. Quotations and formation of the contract
Quotations are based on the information, measurements, specifications and requirements known at the time they are prepared.
Unless stated otherwise, a quotation is an offer to carry out the work described for the stated price and is subject to these Terms & Conditions.
We ask customers to provide written acceptance of a quotation.
The contract is confirmed when the required deposit has been received. By paying the deposit after being provided with or given access to these Terms & Conditions, you confirm your acceptance of the quotation and these Terms & Conditions.
Materials will not normally be ordered and manufacture or installation dates will not normally be confirmed until the required deposit has been received.
Any quotation validity period stated on the quotation will apply.
2. Estimates and design development
Where an estimate is provided before detailed design work has been completed, it is intended as an initial guide rather than a fixed quotation.
The final price may change as the design develops, project requirements are clarified, site conditions are assessed and materials, finishes, hardware and specifications are finalised.
A formal quotation will be provided once sufficient information is available to establish the final scope of work.
3. Design service and design deposit
Where substantial design work, technical detailing or project development is required before a final quotation can be prepared, T&B Woodwork may require a design deposit equal to 10% of the estimated project value.
The design deposit covers design, consultation, technical detailing and project-development work.
Payment of a design deposit does not fix or guarantee the final contract price.
If the Customer proceeds with the project, the design deposit will be credited against the final contract price.
Once a final quotation has been accepted, the Customer will pay any additional amount required to bring the total deposit paid to 25% of the final contract price.
If the Customer decides not to proceed after design work has been undertaken, T&B Woodwork may retain an appropriate amount of the design deposit to cover design and other work already carried out, subject to the Customer's statutory rights and applicable consumer law.
4. Design approval and specifications
Where drawings, visualisations, samples or specifications are provided for approval, the Customer is responsible for reviewing them carefully before approving manufacture.
This includes, where applicable, dimensions, layout, configuration, colours, finishes, hardware and other specified details.
T&B Woodwork remains responsible for carrying out its work with reasonable care and skill and for matters that are reasonably within our professional responsibility.
Approval by the Customer does not remove any statutory rights they may have.
5. Customer-supplied information and measurements
Where T&B Woodwork undertakes a site survey and takes measurements for the project, we are responsible for using reasonable care and skill in doing so.
Where the Customer supplies measurements, plans, specifications or other information that T&B Woodwork has not independently verified, the Customer is responsible for ensuring that information is accurate.
Additional work or materials reasonably required because customer-supplied information was inaccurate or incomplete may be charged separately, provided the additional cost is agreed with the Customer where appropriate.
5. Customer-supplied information and measurements
Where T&B Woodwork undertakes a site survey and takes measurements for the project, we are responsible for using reasonable care and skill in doing so.
Where the Customer supplies measurements, plans, specifications or other information that T&B Woodwork has not independently verified, the Customer is responsible for ensuring that information is accurate.
Additional work or materials reasonably required because customer-supplied information was inaccurate or incomplete may be charged separately, provided the additional cost is agreed with the Customer where appropriate.
6. Payment terms
Unless otherwise agreed in writing, our standard payment schedule is:
Initial deposit — 25%
25% of the final contract value is payable upon acceptance of the quotation.Where a 10% design deposit has already been paid, the subsequent deposit payment will be adjusted so that total payments made at this stage equal 25% of the final contract value.
Interim payment — 50%
A further 50% of the final contract value is due one week before the agreed installation date.Installation may be postponed if this payment has not been received.
Final payment — 25%
The remaining 25% is due upon practical completion and submission of the final invoice.Practical completion means that the contracted work is substantially complete and capable of being used for its intended purpose. Minor snagging items that do not materially prevent normal use will not normally delay the final payment.
This does not affect our obligation to rectify legitimate defects or outstanding agreed snagging items.
7. Changes and additional work
Any changes requested after a quotation has been accepted may affect the price, specification and completion date.
Changes or additional work will be agreed with the Customer before being undertaken wherever reasonably possible. Agreement may be recorded through a revised quotation or in writing by email or WhatsApp.
Where unforeseen circumstances make additional work necessary, T&B Woodwork will discuss the issue and any additional cost with the Customer before proceeding, except where immediate action is reasonably necessary to prevent damage or make the site safe.
8. Materials and finishes
T&B Woodwork uses materials appropriate to the agreed specification and project requirements.
Natural materials such as solid timber and real wood veneer will vary in colour, grain, texture and appearance. These natural variations are part of the character of the material and are not, by themselves, considered defects.
Samples, photographs and digital visualisations are intended to provide a reasonable representation of materials and finishes, but exact colour and appearance may vary due to natural material variation, lighting, screen settings and manufacturing batches.
Painted finishes may also vary slightly from samples or digital representations.
Where a particular material, component or product becomes unavailable, T&B Woodwork will discuss suitable alternatives with the Customer before making a material change to the agreed specification.
9. Site conditions and access
Bespoke fitted furniture is often installed into existing buildings where walls, floors, ceilings and openings may not be perfectly level, straight, square or plumb. T&B Woodwork will make reasonable allowances for these conditions when designing and installing the work.
If hidden or unforeseen site conditions are discovered that could not reasonably have been identified beforehand, additional work, materials or alterations may be required. Any resulting change in price or scope will be discussed with the Customer before additional chargeable work is undertaken wherever reasonably possible.
The Customer is responsible for providing reasonable access to the property and installation area on the agreed dates and for ensuring that the work area is reasonably clear and accessible.
Unless specifically included within the quotation, moving furniture or personal belongings and carrying out unrelated preparatory or remedial building work are not included in the contract.
10. Installation and practical completion
T&B Woodwork will carry out the agreed installation with reasonable care and skill.
Installation may involve reasonable adjustment and fitting on site to accommodate the existing building and site conditions.
A project will be considered practically complete when the contracted work is substantially complete and capable of being used for its intended purpose.
Minor outstanding snagging items will be addressed within a reasonable period but will not normally prevent practical completion or delay the final payment.
The Customer should notify T&B Woodwork of any concerns or snagging items as soon as reasonably possible so that they can be inspected and, where appropriate, rectified.
11. Subcontractors and other trades
T&B Woodwork may use suitably qualified subcontractors or other trades where required to complete elements of the agreed work.
Where the work of a subcontractor or other trade is included within the T&B Woodwork quotation and arranged by T&B Woodwork, T&B Woodwork remains the Customer's contracting party for that work.
Where the Customer appoints or contracts directly with another trade or supplier, that work is outside the T&B Woodwork contract unless otherwise agreed in writing.
T&B Woodwork is not responsible for delays or additional work caused by customer-appointed contractors or suppliers where those circumstances are outside our reasonable control.
12. Timescales and delays
Any anticipated manufacture, delivery or installation dates will be given in good faith based on the information available at the time.
Occasionally delays may arise because of circumstances outside T&B Woodwork's reasonable control, including material or component shortages, supplier delays, transport disruption, illness, unexpected site conditions or delays caused by other trades.
Where a significant delay occurs, T&B Woodwork will keep the Customer reasonably informed and will arrange a revised programme where necessary.
T&B Woodwork will take reasonable steps to minimise delays and their effect on the project.
13. Cancellation
Because much of our work is bespoke and made specifically to the Customer's requirements, cancellation may result in costs that cannot reasonably be recovered elsewhere.
If the Customer cancels after the contract has been confirmed, T&B Woodwork may retain or recover reasonable costs and losses resulting from the cancellation. These may include design work already undertaken, materials or products ordered, manufacturing work completed, subcontractor costs and other reasonable commitments made specifically for the project.
T&B Woodwork will take reasonable steps to minimise these losses. Where the amount already paid exceeds the reasonable losses resulting from cancellation, the appropriate balance will be refunded. Where the reasonable losses exceed the amount already paid, T&B Woodwork may seek to recover the additional amount where legally entitled to do so.
Bespoke or personalised goods may not benefit from the same statutory change-of-mind cancellation rights that apply to some other consumer purchases. Nothing in these Terms & Conditions affects any cancellation or other statutory rights that the Customer is legally entitled to exercise.
14. Customer-supplied products and materials
Where the Customer asks T&B Woodwork to install, incorporate or work with products or materials supplied by the Customer, T&B Woodwork is not responsible for inherent defects, incorrect specifications, missing components, incompatibility or other faults with those products or materials that are not caused by T&B Woodwork.
T&B Woodwork remains responsible for carrying out any agreed installation or associated work with reasonable care and skill.
Additional work resulting from problems with customer-supplied products or materials may be chargeable where appropriate and will be discussed with the Customer before additional chargeable work is undertaken wherever reasonably possible.
15. Two-year warranty and aftercare
In addition to the Customer's statutory rights, T&B Woodwork provides a two-year warranty from the date of practical completion covering defects resulting from our workmanship or manufacture.
Where a valid warranty issue arises, T&B Woodwork will inspect the issue and, where appropriate, repair or rectify the affected work within a reasonable period.
The warranty does not cover normal wear and tear, accidental damage, misuse, neglect, inappropriate cleaning or maintenance, alterations or repairs carried out by others, movement or defects in the building, or damage resulting from environmental conditions outside the reasonable control of T&B Woodwork.
Natural movement, colour change and variation in timber and other natural materials are not necessarily defects and will be assessed according to the nature of the material and circumstances.
This warranty is provided in addition to, and does not replace or restrict, the Customer's statutory rights.
16. Liability
Nothing in these Terms & Conditions excludes or restricts any liability that cannot lawfully be excluded or restricted, or affects the Customer’s statutory rights.
T&B Woodwork is responsible for loss or damage that is a foreseeable result of our breach of contract or failure to use reasonable care and skill.
T&B Woodwork is not responsible for loss or damage that could not reasonably have been foreseen when the contract was entered into, or for matters outside our reasonable control, except where the law provides otherwise.
Nothing in these Terms & Conditions limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be limited.
17. Designs and intellectual property
Unless otherwise agreed in writing, drawings, SketchUp models, visualisations, technical details and original designs produced by T&B Woodwork remain the intellectual property of T&B Woodwork.
Drawings and designs supplied as part of a project are provided for the Customer’s use in connection with that project and must not be reproduced, supplied to another manufacturer or used to manufacture the design elsewhere without prior written permission from T&B Woodwork.
Payment for design work or a design deposit does not automatically transfer copyright or other intellectual property rights to the Customer.
18. Problems and complaints
If the Customer has a concern about any aspect of the work, they should contact T&B Woodwork as soon as reasonably possible.
T&B Woodwork should be given a reasonable opportunity to inspect the issue and, where appropriate, put matters right.
We aim to resolve concerns fairly and within a reasonable period. Nothing in this section affects the Customer’s statutory rights or any remedies available to them under applicable consumer law.
19. Governing law
These Terms & Conditions and any contract between the Customer and T&B Woodwork are governed by the laws of England and Wales.
Nothing in these Terms & Conditions affects any mandatory consumer rights or jurisdictional rights that apply to the Customer.
